The English Limited Company (Ltd.) is comparable to a German or Austrian GmbH, a GesmbH or a French SARL and also has the same rights. Still the foundation conditions are much easier. There is no capital to be paid in or proven, the expensive costs of a notary do not apply, the contracts of the shareholders (Articles & Memorandum) are laid out so that any kind of business transaction can be carried out, there are hardly any limitations concerning the choice of name and you already receive the legal permission for world wide business transactions after 14 days.

Even if you carry out all your businesses in Germany, Austria or France, there are no disadvantages for you with a Limited Company in contrast to a home company. According to the EC-regulations (Contracts of Maastricht) and all other regulations of the commercial law Ltds have the same rights and must not, which is legally fixed, be at a disadvantage or treated differently to home companies. Certainly you can register a trade with every Ltd; The issuing of a trading licence is not dependent on any permission. Furthermore the company can on request be registered in the register of companies or in the register of trade without any problems.

You can decide how many shares (contribution to the Limited Company) you want to issue and to whom. You can choose freely, who and how many people should be directors, and you can announce and later dismiss those without any consultation with a notary. If you wish to have anonymity, we would kindly put the so called Nominees at your disposal, who will then be registered in your place and will officially represent the company. The Nominees provide you with a general power of attorney so that you as the so called Beneficial Owner" are in full charge of your company. There are Nominees possible for the position of the director, the secretary and the shareholder. These are the positions, which are officially mentioned in the English register of companies and which are open for anybody.

With a Limited Company you are basically legally in the position to open and to hold bank accounts in the whole world. In London we would kindly take over the job of opening the business bank accounts in any bank of your request for you. Certainly we would also do that in any of your chosen currency - US $, DM, ATS, SFR etc. From the English banks you get the cheque books (also in foreign currency), cash cards, credit cards and all the other things you might possibly need. Direct-Banking via PC is possible too.

On your request we also do the VAT Registration for your new company in England, through which the English tax authority ( Her Majestys Customs & Excise) provides you with a sales tax ID number which is valid throughout Europe. The British rate of VAT lies at about 17,5% at the moment. By the way the system of the sales tax works absolutely the same within the entire EC. (So there is a pre-tax-deductibility too).

We would also offer you the possibility of taking a private domicile in England as main place of residence or as second place of residence. You can then license your vehicles under the name of your new company or your private name. Certainly you can also have your driving licence transcribed into a British document. Concerning this we will advise you seriously and confidentially.

In order to make your company function perfectly, some important details must be taken into consideration, which are perfectly transferred by us. The main place of residence of your new company here in London should, for example, be an actually working office and not for instance an accommodation address. Many competitors offer an optimal solution on first sight: An own company plaque at the entrance. If you take a closer look, you will realise that there are more than 60 other company plaques at the entrance but the whole office building consists of only two floors. At our office all documents are automatically provided with an Apostille (= a witnessed transcript of a document) of the Convention of Den Haag in 1961 by the BRITISH FOREIGN & COMMONWEALTH OFFICE, then they are sealed and officially translated and again witnessed by the German Embassy in London.

After this procedure you can be sure that all documents are legal and can be registered without any problems at all important places or authorities of your native country. Furthermore you certainly get all further documents like the foundation report, the contracts of the shareholders etc. translated and in the English original version. Moreover extracts of the register of companies can on your request be legalised, officially translated and witnessed by us through the British Ministry of Foreign Affairs.

 

Please consider that our basic price includes all these services and there are no hidden additional costs. We guarantee this with the booking of our services. Now and then seals for your company are offered among competitors. The British seal-duty-law was repealed some years ago. Since then official company documents are not allowed to be sealed any more. You can only use this seal for the personal outfit of your company. If you once should need such a seal, we could get it for you. But we dont enclose it with the basic equipment any more, as this leads to confusion among the local authorities.
